Owner Listing Agreement



Herein after called the Seller, and Independent Timeshare Resales Realty Inc., an Aruban Corporation, doing business as ITR Realty www.buyarubatimeshares.com with offices situated at: Sun Plaza, L. G. Smith Blvd 160, Suite 125, Aruba. Tel (Aruba) 737-3006 Tel (USA) 407-385-7030 (Rings in Aruba) Fax 297-588-0256.

PARTIES AGREE TO THE FOLLOWING:
Seller hereby grants the right to the Company to sell his/her Timeshare week(s) listed here below on the open market.



PARTIES AGREE TO THE FOLLOWING;


1. Owner(s)/Seller(s) warrant: that he/she/they are the legal owners of the timeshare(s) described herein above; and that he/she/they have the legal right to sell the timeshare(s); that he/she/they will deliver title to any buyer(s) of the timeshare free and clear; that said timeshare week(s) is/are fully paid and are free of any/all claims and encumbrances; that said timeshare week(s) can be sold without violating any rules and regulations of the resort owned at.

2. The Owner(s)/Seller(s) hereby grant the Company the right to sell the above timeshare(s) for a period of 6 months. If the timeshare(s) was not sold during the first listing period; and the Owner(s)/Seller(s) does not inform the Company to terminate this listing agreement, then the listing will continue for another period of six months

3. The Company shall receive as compensation from the Owner(s)/Seller(s) for conducting the sale, a commission of 10 % (10 percent) of the Selling price resulting from the sale, or a minimum of $ 750.00 per sale.

4. The Owner(s)/Seller(s) will also be charged a closing fee of US $ 125.00 (Per contract) which covers all cost related to the closing, bank charges and overnight express mail delivery between the Company and the Seller(s).

5. In the event of a sale, ITR will instruct Buyer(s) to make a certified bank check in the name of the Owner(s)/Seller(s) written herein above as payment, unless payment is desired in another manner by the Owner(s)/Seller(s).

6. Owner(s)/Seller(s) warrants that the yearly Resort maintenance fee for the week(s) described herein above is/are paid for the current year. If the maintenance fee(s) and/or any other resort fee(s) are not paid, then the Owner(s)/Seller(s) hereby agree, to have the amount owed to the resort, be deducted from the proceeds of the sale.

7. Owner(s)/Seller(s) agree to hold the Company, its representatives, agents and employees harmless against any claims resulting from any eventual dispute with the Resort and/or any other company, in the event of any money which is owed by him/her/them.

8. Owner(s)/Seller(s) hereby grant the Company the authorization to verify all information supplied herein with the resort and/or financing institution.

9. The Owner(s)/Seller(s) acknowledges having read, understood and agree to the above conditions and declare that the information supplied by him/her/them is truthful.

The Terms and Conditions outlined herein shall be governed by the laws of Aruba and shall be subject to the exclusive jurisdiction thereof. In the event of any legal dispute between the parties hereto, in connection with these Terms and Conditions, the prevailing party will have the right to recover reasonable attorney fees.
